1. Introduction & Agreement

These Terms & Conditions (the “Terms”) govern your access to and use of Explore China Pro (the “Platform”), owned and operated by [Company Legal Name], registered in [Jurisdiction] with its registered address at [Address] (“we”, “us”). Some Services may be provided by independent third‑party providers (“Providers”). We are not a common carrier and do not control the acts or omissions of Providers.

5. Bookings, Pricing, Payments & Taxes

Prices, availability and terms are set by us or the relevant Provider and may change at any time. You authorize us or our payment processors to charge your selected payment method for the full amount shown, including applicable taxes, fees, currency conversion and any service charges. Where a deposit is taken, the balance and due dates will be displayed at checkout. You are responsible for any bank fees or foreign exchange charges from your issuer.

6. Changes, Cancellations & Refunds

Change and cancellation policies vary by Service and Provider and will be shown prior to purchase. Some purchases are non‑cancellable and non‑refundable. Refunds, if any, will be processed to the original payment method less any non‑refundable amounts. Chargebacks without first contacting us may result in account suspension.

7. User Content & License

If you submit reviews, photos, itineraries or other content (“User Content”), you grant us a worldwide, non‑exclusive, royalty‑free, sublicensable and transferable license to use, reproduce, distribute, adapt and display such User Content in connection with the Platform and our marketing. You represent that you own or have rights to the User Content and it does not infringe third‑party rights or applicable law.

You agree not to: (a) use the Platform for unlawful purposes; (b) interfere with or disrupt the Platform; (c) scrape, crawl or harvest data without our prior written permission; (d) circumvent access controls or security; (e) upload malware; (f) impersonate others or misrepresent your affiliation; (g) use the Services in violation of sanctions, export control or anti‑boycott laws.

9. Intellectual Property

The Platform and all content, features and functionality are owned by us or our licensors and are protected by intellectual property laws. “Explore China Pro” and associated marks are our trademarks. You may not copy, modify, distribute or create derivative works except as expressly permitted by these Terms.

10. Third‑Party Services & Links

The Platform may link to or integrate third‑party websites or services. We are not responsible for their content, terms or privacy practices. If a Service is provided by a Provider, the Provider’s terms will also apply and may supersede parts of these Terms for that Service.

11. Travel Requirements & Risk Notice

Travel in China may be subject to specific entry, visa, registration, connectivity and local compliance requirements. You are solely responsible for meeting applicable requirements (e.g., passports, visas, permits, health/insurance coverage). We are not liable for denial of entry, delays or costs resulting from your failure to meet such requirements.

The Platform and Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title and non‑infringement. We do not guarantee uninterrupted or error‑free operation, pricing accuracy, or availability of any Service.

13. Limitation of Liability

To the maximum extent permitted by law, our total liability arising out of or relating to these Terms or the Services shall not exceed the greater of (i) the amounts you paid to us for the Service giving rise to the claim in the 12 months preceding the claim or (ii) USD 100. We shall not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues, goodwill, or data.

You agree to indemnify, defend and hold us harmless from any claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms, your misuse of the Platform, or your violation of law or third‑party rights.

We may suspend or terminate your access to the Platform at any time with or without notice if we reasonably believe you have violated these Terms or applicable law, or to protect the Platform or other users. Upon termination, sections that by their nature should survive (including ownership, disclaimers, limitations of liability and dispute resolution) shall survive.

Option A (PRC): These Terms are governed by the laws of the People’s Republic of China (exclusive of conflict rules). Any dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) in Beijing for arbitration in [Chinese/English], in accordance with CIETAC rules. The award shall be final and binding.

Option B (Hong Kong): These Terms are governed by the laws of Hong Kong SAR. Any dispute shall be referred to and finally resolved by arbitration administered by HKIAC in Hong Kong under the HKIAC Administered Arbitration Rules. The seat of arbitration shall be Hong Kong.

Option C (Other): These Terms are governed by the laws of [State/Country], without regard to conflict of laws. The courts located in [City, State/Country] shall have exclusive jurisdiction.

20. Entire Agreement & Miscellaneous

These Terms, together with any order or booking confirmation and the Privacy Policy, constitute the entire agreement between you and us regarding the Services. If any provision is held invalid, the remaining provisions will remain in full force. We may assign these Terms without restriction; you may not assign them without our prior written consent. Our failure to enforce any provision is not a waiver. Headings are for convenience only. English language controls: If these Terms are translated into other languages, the English version will control in case of conflict.

21. Force Majeure

Neither party will be liable for any failure or delay in performance to the extent caused by events beyond its reasonable control, including acts of God, natural disasters, epidemics, public health emergencies, war, terrorism, civil unrest, labor disputes, government actions, power or Internet failures, or telecommunications/network interruptions. Obligations will be suspended for the duration of the Force Majeure event and resume once performance becomes reasonably possible.

22. Electronic Communications & E‑Signatures

You consent to receive communications from us electronically (including emails, in‑app notices and postings on the Platform) and agree that all agreements, notices and other communications we provide electronically satisfy any legal requirement that such communications be in writing. You agree that clicking to accept, e‑signing, or similar actions constitute your signature and acceptance of these Terms and related transactions.

23. Children & Age Restrictions

The Platform is not intended for individuals under the age of 18 (or the age of majority in your jurisdiction). If travel Services involve minors, the booking adult represents that they are the parent or legal guardian or have appropriate authority and will be responsible for the minor’s use of the Services.

24. Anti‑Bribery, Sanctions & Export Controls

You represent and warrant that you and your affiliates will comply with all applicable anti‑bribery, anti‑corruption, sanctions and export control laws (including the U.S. FCPA, UK Bribery Act, EU/UK/US sanctions, and applicable PRC laws). You will not use the Services for, or make the Services available to, any person or entity that is the target of sanctions or located in an embargoed jurisdiction in violation of applicable law.
